Terms and Conditions of Use

These Terms and Conditions, including the Service Level Agreement set out in Section 11, govern the relationship between Pynn Artificial Intelligence S.L. and all White-Label Clients. By activating a paid subscription, the Client expressly accepts these Terms in full, together with the Privacy Policy.

1. Legal Information

2. Purpose and Scope

These Terms and Conditions (hereinafter “Terms”) govern access to and use of the website and software services provided by Pynn Artificial Intelligence S.L. (hereinafter “Pynn” or the “Company”). By accessing the website or activating a paid subscription, the user (hereinafter “Client” or “White-Label Client”) expressly accepts these Terms and the Privacy Policy in full. These documents together constitute the complete legal framework governing the relationship between Pynn and its Clients.

The services are intended exclusively for professional and business use (B2B). Pynn does not provide services to consumers.

3. Description of Services

Pynn provides white-label SaaS platforms designed for innovation-driven organisations. White-Label Clients include, but are not limited to, business angel networks, incubators, accelerators, venture capital funds, family offices, event organisers, corporate innovation programmes, government bodies, universities, and chambers of commerce.

Services available through the platform include:

  • AI-powered startup assessment and scoring
  • White-label branded application portal
  • Deal flow CRM and pipeline management
  • Investor member directory and community tools
  • Private events and investment committee voting
  • Portfolio management tools
  • Access to the AngelHive global deal flow marketplace

Specific features and pricing tiers are detailed at pynn.ai. Service level commitments are set out in Section 11 of these Terms.

4. Acceptance of Terms

By activating a paid subscription to any Pynn service tier, the Client confirms that it has read, understood, and expressly accepts these Terms and Conditions and the Privacy Policy. This acceptance constitutes a binding commercial agreement between the Client and Pynn from the date of first payment.

Free trial accounts are provided subject to these Terms but without the service level commitments set out in Section 11, which apply exclusively to active paid subscribers.

5. Client Obligations

The Client agrees to:

  • Use the platform lawfully and in good faith
  • Refrain from activities that could damage, overload, or compromise platform systems
  • Not introduce malware, malicious code, or unauthorised data
  • Respect all applicable intellectual property rights
  • Ensure that any data submitted to the platform is lawful, accurate, and obtained in compliance with applicable data protection laws
  • Inform Pynn promptly of any unauthorised use of the Client's account

6. White-Label Model and Client Responsibilities

Where the software is provided under a white-label model, Pynn acts as a technology provider. The White-Label Client is solely responsible for:

  • End-user relationships with startups, investors, and other parties onboarded through the Client's branded portal
  • Legal notices, terms of use, and privacy policies shown to the Client's own end users
  • Lawful processing of personal data submitted by the Client's end users
  • Compliance with applicable laws in the jurisdictions in which the Client operates

7. Data Storage, Ownership and Retention

7.1 Client Community Ownership

Startups, investors, and other participants onboarded to the Pynn platform through the White-Label Client's branded portal are considered the Client's community. The Client retains ownership of its specific community relationships and the private deal flow generated exclusively within its tenant environment.

7.2 Pynn's Right to Store and Use Platform Data

Notwithstanding Clause 7.1, all data submitted to and processed through the Pynn platform — including but not limited to startup profiles, AI assessment results, investor profiles and preferences, event participation data, and platform usage data — is stored by Pynn in its database. The Client expressly accepts that:

  • All such data is stored by Pynn and may be used by Pynn in aggregated and anonymised form for platform performance analysis, AI model training and improvement, market research, trend analysis, and ecosystem intelligence reporting
  • Pynn may use anonymised and aggregated data derived from the platform to produce reports, benchmarks, and insights, including for commercial purposes
  • Pynn will not disclose individually identifiable Client community data to third parties without the Client's prior written consent, except as required by applicable law
  • The startup profiles and investor profiles submitted through the Pynn platform may, subject to the privacy settings configured by the Client, be made visible to other participants within the AngelHive global deal flow marketplace

7.3 Data Retention Upon Subscription Termination

In the event that a White-Label Client ceases to pay for the platform, whether through cancellation, non-renewal, non-payment, or any other reason, all data stored in Pynn's database shall remain with Pynn. The Client acknowledges and expressly accepts this condition as a fundamental term of the commercial relationship with Pynn.

The Client may request a data export of its community's startup and investor profiles within 30 days of subscription termination. After this period, Pynn is under no obligation to provide such export. This clause does not affect the rights of individual data subjects under applicable data protection legislation, as set out in the Privacy Policy.

8. Intellectual Property

All content, software, source code, designs, logos, trademarks, documentation, AI models, assessment algorithms, and related materials are the exclusive property of Pynn or its licensors. No rights are transferred to the Client beyond those strictly necessary for the contracted use of the services during an active subscription. Any unauthorised reproduction, distribution, modification, or reverse engineering is strictly prohibited.

9. Limitation of Liability

To the maximum extent permitted by Spanish law, Pynn shall not be liable for:

  • Business interruptions or loss of profits, except as expressly provided in the remedies set out in Section 11.7 of these Terms
  • Data loss due to causes beyond its reasonable control
  • Misuse of the platform by the Client or third parties
  • Investment, programme selection, or other decisions taken on the basis of AI assessment outputs, which are provided as decision-support tools only

The services are provided subject to the commitments set out in Section 11, and without additional warranties beyond those expressly stated therein.

10. Suspension and Termination

Pynn reserves the right to suspend or terminate access to the services in the event of:

  • Material breach of these Terms
  • Non-payment of subscription fees
  • Illegal or fraudulent use of the platform
  • Actions that pose a security risk to the platform or other clients

Cancellation by the Client may be effected at any time through the platform settings or by written notice to info@maxventures.eu, with effect from the end of the then-current billing period. No refunds are issued for partial billing periods unless otherwise agreed in writing. Upon termination, data retention is governed by Clause 7.3.

11. Service Level Agreement

This Section 11 constitutes the Service Level Agreement (SLA) between Pynn and all active paying White-Label Clients. It applies from the date of first payment and forms an integral part of these Terms.

11.1 Platform Availability

Pynn commits to maintaining platform availability of at least 99% measured on a monthly calendar basis. Availability is calculated as:

Availability (%) = ((Total minutes in month - Downtime minutes) / Total minutes in month) x 100

Downtime is defined as any period during which the core platform functionality — including startup application submission, AI assessment generation, and tenant dashboard access — is entirely unavailable to the Client.

The following are excluded from the uptime calculation:

  • Scheduled maintenance windows, provided at least 24 hours advance notice has been given via email
  • Force majeure events including natural disasters, power failures, or internet infrastructure disruptions beyond Pynn's reasonable control
  • Downtime caused by the Client's own actions, misconfiguration, or third-party integrations operated by the Client
  • Brief interruptions of less than 5 consecutive minutes

11.2 Scheduled Maintenance

Pynn will endeavour to carry out scheduled maintenance outside of peak usage hours (weekdays 09:00–18:00 CET) and will provide at least 24 hours advance notice via email. Emergency maintenance required to address critical security vulnerabilities may be carried out without prior notice, with communication provided as promptly as practicable.

11.3 Support Services

Pynn provides email-based technical and product support to all active White-Label Clients at info@maxventures.eu. Pynn commits to:

  • Acknowledgement of support requests within 2 business days
  • Substantive response or resolution for standard issues within 5 business days
  • Prioritised handling of critical issues (complete loss of platform access) with acknowledgement within 1 business day

Business days are Monday to Friday, excluding Spanish public holidays.

11.4 Onboarding Support

All new White-Label Clients are entitled to a complimentary onboarding call to assist with initial platform configuration, investment thesis setup, and branded portal configuration. This call should be scheduled within 14 days of subscription activation.

11.5 AI Assessment Services

The Pynn AI assessment engine generates automated startup evaluation reports based on structured founder-submitted data supplemented by Pynn's proprietary research layer. Assessment outputs are decision-support tools only and do not constitute investment advice or professional opinions. Pynn does not guarantee specific assessment outcomes. Under normal operating conditions, assessment reports are generated within 10 minutes of a complete submission being received.

11.6 Service Continuity

In the event of a planned discontinuation of any core service feature, Pynn will provide active White-Label Clients with a minimum of 30 days prior written notice via email.

11.7 Remedies for Availability Breach

In the event of a material and documented breach of the availability commitment in Clause 11.1, the Client's sole remedy is a service credit equivalent to one month's subscription fee, applied to the following billing period, subject to:

  • The Client notifying Pynn of the availability failure within 14 calendar days of its occurrence
  • The failure being verifiable from Pynn's infrastructure monitoring
  • The failure not falling within the exclusions listed in Clause 11.1

Service credits are the Client's sole and exclusive remedy for availability failures and do not constitute an admission of liability by Pynn.

12. Modifications

Pynn reserves the right to update these Terms and the Privacy Policy to reflect legal, regulatory, or operational changes. Material changes will be communicated to active subscribers via email at least 30 days prior to taking effect. Continued use of the platform following notification constitutes acceptance of the updated terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any dispute arising from or relating to these Terms shall be submitted exclusively to the Courts and Tribunals of Palma de Mallorca, unless mandatory provisions of applicable law require otherwise.
